Terms and Conditions

For purposes of these Terms, the following definitions apply:

• "Service" means the Aisha Social web application, APIs, and all associated software hosted at aisha-amp.chromatics.ai.
• "User," "you," or "your" means any individual or legal entity that registers for or uses the Service.
• "OAuth Token" means the encrypted access credential issued by a third-party social platform and held by Aisha Social in encrypted form to authenticate API requests on your behalf.
• "Campaign" means a batch of multiple AI-generated posts scheduled for publication across a user-defined timeline - which may span a single day or multiple days, with user-specified blackout days excluded from the publishing schedule.
• "Organic Content" means unpaid social media posts (captions, images, videos) published to a User's connected profile or page. Aisha Social supports Organic Content only.
• "Third-Party Platform" means any external service integrated with Aisha Social, including but not limited to Meta (Facebook/Instagram), TikTok, Stripe, OpenAI, and Seedance.
• "SLA" means the Service Level Agreement, which Aisha Social does not currently guarantee unless separately executed in a signed enterprise agreement.

These Terms and Conditions ("Terms") govern your legal relationship, access to, and use of the Aisha Social application hosted at aisha-amp.chromatics.ai, provided by ChromaticsAI LLC ("Chromatics," "we," "us," or "our").

By creating an account or connecting any social media profiles, you explicitly agree to be bound by these Terms. If you are accepting these Terms on behalf of a company, profile, or client workspace, you represent that you have the legal authority to bind that entity. If you do not agree to these Terms, you are prohibited from using the Service.

Aisha Social is a social media content generation, organic publishing, and inbox engagement assistant. The Service allows you to generate individual posts or multi-post Campaigns, schedule them for publication to your connected social profiles, and manage incoming comments and direct messages in a central interface.

Campaigns: A Campaign consists of multiple generated posts published according to your chosen schedule - which may cover a single day or span multiple days. You may specify blackout days (dates on which no posts should publish), and Aisha Social will exclude those dates from the publishing timeline.

No Paid Advertising: Aisha Social does not create, manage, serve, target, bid on, or optimize paid social media advertisements of any kind - including but not limited to Meta Ads, Instagram Boosted Posts, TikTok Promote, or any other paid placement product offered by Third-Party Platforms. Aisha Social has no integration with, access to, or responsibility for advertising accounts, ad spend, ad targeting, ad creative delivery, or ad performance metrics. Any paid advertising activity remains entirely outside the scope of this Service and must be managed directly through the relevant Third-Party Platform.

Accurate Information: You agree to provide true, accurate, and current information during registration and onboarding.

Credential Confidentiality: You are solely responsible for securing your login credentials and system-generated credentials.

Action Tracking: You are legally responsible for all activities, content drafts, publishing commands, and sent direct message or comment replies executed under your Aisha Social account.

Trial eligibility, cancellation conditions, and payment terms are defined in your executed service agreement.

EU-based organizations are subject to applicable digital services regulations, including provisions governing the immediate commencement of digital services and any relevant statutory rights, as acknowledged at the time of service activation.

ChromaticsAI LLC maintains records of all critical account activities - including Terms acceptance, EU statutory acknowledgements, and service usage logs. In the event of a payment dispute, these records are submitted to the relevant payment processor and card networks as proof of active service delivery.

Aisha Social is a content production and message triage assistant; the user is the publisher and communicator of record for all content.

Mandatory Review: Aisha Social enforces a "human-in-the-loop" default. Nothing publishes, and no comment or direct message reply is sent, without an explicit user approval command.

Copywriting and Messaging Liability: You are contractually obligated to review, edit, and verify the factual accuracy, tone, and legal compliance of all AI-generated drafts (captions, images, videos, and message replies) before scheduling, publishing, or sending them.

Disclaimer: ChromaticsAI LLC is not liable for any reputational damage, regulatory action, platform suspension, or customer relations dispute resulting from content or messages you approved, sent, or published through our Service.

Your Inputs: You retain all ownership, intellectual property rights, and copyright over the materials you upload to Aisha Social (images, guidelines, past posts, messages).

Our Outputs: ChromaticsAI LLC claims no copyright or ownership over any content drafted or generated by Aisha Social (text, visuals, videos, message replies). All generated outputs are yours to use, modify, and publish.

Verbatim Protection: Aisha Social is programmatically restricted from reproducing third-party copyrighted material verbatim. In the event that a generation contains close similarities to external copyrighted works, you are responsible for making required edits before publishing.

Aisha Social is provided on an "as is" and "as available" basis without any SLA unless expressly agreed in a signed enterprise contract. To the fullest extent permitted by law, ChromaticsAI LLC disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee that:

• The Service will be uninterrupted, error-free, latency-free, or 100% secure.
• AI-generated content or message replies will be factually accurate, legally compliant, or drive positive social media engagement.
• Third-Party Platform APIs (Meta Graph API, TikTok API, Stripe API, OpenAI API, Seedance API) will remain active, unmodified, or rate-limit-free.
• OAuth tokens will remain valid indefinitely; token revocation by a Third-Party Platform is outside our control.

You agree not to use the Service to:

• Violate any applicable local, state, national, or international law or regulation.
• Infringe the intellectual property, privacy, or publicity rights of any third party.
• Upload, generate, or distribute CSAM, malware, or any content that violates platform community guidelines.
• Attempt to reverse-engineer, decompile, disassemble, or extract source code from the Service.
• Circumvent rate limits, authentication controls, or encryption mechanisms.
• Use automated scripts, bots, or scrapers to access the Service outside of documented APIs.
• Resell, sublicense, or white-label the Service without a signed enterprise agreement.

Violation of this Acceptable Use Policy constitutes grounds for immediate account suspension or termination.

The Service relies on Third-Party Platform APIs that are subject to their own terms, rate limits, and availability. By connecting a social account and granting messaging or publishing permissions, you authorize Aisha Social to act as your agent for API calls permitted by the OAuth scopes you grant. You acknowledge that:

• Aisha Social is not responsible for account suspensions, content removals, or API access revocations imposed by Third-Party Platforms.
• Your use of connected platforms remains governed by each platform's own Terms of Service and Developer Policies.
• Aisha Social's OAuth integrations are scoped exclusively to organic content publishing, messaging and inbox management, and page analytics. Ad account APIs, ad manager endpoints, and paid placement tools are outside the scope of the Service.

ChromaticsAI LLC reserves the right to suspend or terminate your account, with or without notice, if you:

• Breach these Terms or the Acceptable Use Policy.
• Fail to meet payment obligations under your executed service agreement.
• Engage in activity that poses a security, legal, or reputational risk to Chromatics or its subprocessors.

Upon termination, your right to access the Service ceases immediately. Sections relating to Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law survive termination.

Assignment: You may not assign or transfer your rights under these Terms without Chromatics' prior written consent. Chromatics may assign these Terms in connection with a merger, acquisition, or sale of assets.

Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full force and effect.

Entire Agreement: These Terms, together with the Privacy Policy and any executed service agreement, constitute the entire agreement between you and ChromaticsAI LLC regarding the Service and supersede all prior agreements and understandings.
